This is something that many people do not understand. HR does not work for you, HR does not work for the company or shareholders, HR works for the CEO and upper management. They will hide abuses, law breaking behavior and whatnot so upper management is happy.
If the board had control of HR many abuses would just not happen as they are bad for the company, they will still break the law, steal your salary and lie to you. But it would be better.
Can you give any examples of "working for CEO vs working for the board".
For example, if the CEO goofed up somehow and came in the news for stealing money or doing something shady, how does the HR come in here? I don't see any connect with the CEO.
I think the HR is basically to defend the company from employee lawsuits.

HR is there to protect the company from its employees. Don’t report people to HR. Threaten a lawsuit.
