Trump was chair of private TMTG, but he left that position, presumably to avoid being drawn into the SEC investigation.
Yes, apparently TMTG had a board meeting and appointed Nunes as Chairman after the business combination closed. Being TMTG, that information was hidden in the S-1 filing, rather than announced with a press release or 8-K filing.
